Sales Agreement / Terms & Conditions

1. Acceptance and Terms
(a.) By purchasing products and/or services from the Stage Outlet Website, you, herein referred to as “the customer” or “the user,” agree to be bound by and accept this Agreement as a whole. Orders are not binding upon Stage Outlet until accepted by Stage Outlet. Stage Outlet reserves the right to refuse service to anyone for any reason. Stage Outlet will indicate its acceptance of an order by accepting payment for the order, by reply email or by shipping the ordered items to the stated shipping address. 

2. Pricing
(a.) Prices and quantities are subject to change at any time and without notice. Stage Outlet has the right to revoke any stated orders or offers and may correct any such stated error, inaccuracies or omissions, including after an order has been submitted or after order has been confirmed and the customers credit card charged. In such a case where an order has been placed and there is a price discrepancy, Stage Outlet reserves the right to credit or debit the customers account before nay items are shipped. Stage Out will not process any change in the cost of an order without first contacting the customer. If the customer wishes to cancel the order for which there is a price difference, Stage Outlet will credit the full amount back to the customer. If for some reason the order has already shipped, normal return policies will apply.

(b.) The List Price posted on the website is the suggested retail selling price of a product provided to us by our manufacturers and vendors. Stage Outlet may sell products at prices lower than List Price and is not required to sell any products at List Price unless otherwise instructed to do so by the vendor or manufacturer of that particular product. The List Price is posted for the purposes of comparison of Stage Outlet discounts to the price offered by other retailers. List Prices are updated per the request of the manufacturers and vendors selling items on the Stage Outlet website and in some cases manufacturers and vendors may change a suggested retail price without notice to Stage Outlet. In such cases, Stage Outlet is not responsible for any errors in List Pricing as posted on the website. Please contact the manufacturer of a specific product for the most up-to-date List Price information.

3. Payment Terms
(a.) Internet orders may be paid for using the following methods: VISA, MasterCard, or American Express. Orders using an alternate forms of payment must be made over the phone. No items will be shipped until payments have cleared and are firmly deposited in Stage Outlets account. Shipping delays may occur due to the delay in processing alternate forms of payment. While Stage Outlet will do it’s best to ship these items in a timely fashion, Stage Outlet holds no responsibility for shipping delays due to this processing period. Stage Outlet reserves the right to refuse any form of payment, credit card or otherwise, for any reason without explanation.  

4. Limitation of Quantities
(a.) Some products may be limited to stock on hand and are offered on a first come, first served basis. Due to  limitations in stock on hand Stage Outlet can at any time and at its own discretion cancel or limit quantities of items purchased by any Stage Outlet customer. Such restrictions may apply to orders made by the same account, customer, credit card or orders that have the same shipping and/or billing address. Stage Outlet reserves the right to limit any and all quantities sold, including the right to restrict, limit or prohibit sales to dealers, vendors or manufacturers.

5. Shipping Charges and Taxes
(a.) For all orders placed with or through Stage Outlet, the customer agrees to pay all shipping charges and handling charges, including charges incurred to have items fixed for warranty purposes or insured during shipping. ALL SHIPPING INSURANCE ISSUES AND CLAIMS ARE HANDLED BY THE CARRIER. For all items purchased directly from Stage Outlet, if the customer receives a damaged item, and the shipping box is in any way torn, dented, punctured or noticeably damaged, then the customer must contact the shipping carrier and Stage Outlet immediately and mark the damaged areas of the shipping box with notes and take pictures if possible. The customer is therefore strongly recommended to save all shipped items, boxes, equipment, manuals, plastic bags, etc., for at least 14 days to make sure the shipped items work properly and are fully functional before disposing of any shipping materials. Stage Outlet may, as a courtesy to its customer, aid in the claim for damages and/or mediate between the customer and the carrier, but is in no way required to do so. 

(b.) If the customer or destination of the item or items are located outside of the United States, the customer agrees to pay all customs fees and/or duties for the import or export of said items. Customer hereby releases Stage Outlet from any claims for damages incurred during shipping. Stage Outlet is therefore not responsible for any lost, stolen or damaged items, shipping delays or additional fees, duties or taxes incurred by or during the shipping process once the item or items have been passed on to the requested carrier. Stage Outlet reserves the right to refuse to ship any item to any destination or refuse to use any carrier for shipping at any time for any reason without notice or explanation and therefore reserves the right to alter any requested shipping carrier without notice or explanation.

(c.) Separate charges for shipping and handling will be displayed on your order checkout form. Same day shipping is not guaranteed. Items shipped on an expedited basis, (Three day, Second Day or Next Day Air), are not guaranteed by Stage Outlet. Any delays incurred while using these shipping methods are guaranteed by the carried and issues resulting from such delays must be handle through said carrier. Orders placed after hours, on Saturdays, Sundays, or holidays will be processed on the next business day. All items are shipped on a best effort basis.

(d.) As a security precaution, initial orders and orders shipping to alternate addresses may be held for extended verification. Stage Outlet reserves the right to make partial shipments, which will not relieve the customer of the obligation to pay for the remaining deliveries.

(e.) Sales tax will be charged for items purchased from or in the state of Georgia or in any state, providence or country were the law requires such taxes to be applied. These taxes will appear on your invoice and at the end of the check out process. However, these taxes may be applied to your purchase total after the order has been processed. In such cases you will be notified before the charges are applied to your account. Sales tax for the purchase of items from or in the state of Georgia is applied at the rate of seven percent (7%) as of January 2008, but is subject to change without notice as the state makes changes to this rate.

6. Limited Warranty
(a.) Unless otherwise stated, all new products are sold under the manufacturer's limited warranty where applicable. If not posted on the site for download, warranty information can be obtained by sending written request to: Stage Outlet Inc., 1409 N. Highland Ave. N.E. Suite J Atlanta, GA 30306 or by phone at 404-817-9301. Unless otherwise stated, all warranty issues and/or claims must be taken up with the manufacturer or vendor of that item. As a courtesy to the customer, Stage Outlet may act as a mediator and/or aid the customer in addressing such claims, but is not in any way required to do so. 

(b.) Stage Outlet reserves the right to honor no warranty apart or above that of the manufacturer warranty except that required by any applicable law.

(c.) TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, STAGE OUTLET HEREBY DISCLAIMS ALL WARRANTIES AND CONDITIONS, EITHER EXPRESSED OR IMPLIED, INCLUDING, BUT NOT LIMITED TO, IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE AND NON-INFRINGEMENT.

7. Returns
(a.) ALL SALES ARE FINAL. Stage Outlet will accept returns of items provided that the item is in new unused condition, is returned in the original box with all original materials and post marked within 14 days of the receipt of the item. All returns must have a Return Merchandise Number (RMA#) posted clearly on the box that can be acquired by calling 404-946-9300 and speaking to a Stage Outlet representative. Stage Outlet reserves the right to charge a 20% restocking fee for any item returned with the exception of warranty issues and defective equipment exchanges. Stage Outlet is not responsible for the cost of return shipping. A refund will be issued for returned items only upon receipt and inspection of the items and if the items are determined to be complete and in new condition. Stage Outlet will not refund the cost of shipping for returned items and reserves the right to process refunds by whatever means Stage Outlet determines to be applicable including, but not limited to, refunding the original credit card charged, sending a check or money order or a credit applied to future purchases. All items must be returned to Stage Outlets headquarters located in Atlanta Georgia at the address listed below. Returns of items to Stage Outlet is handled as a courtesy to our customers and not a right of the customer, Stage Outlet therefore reserves the right to refuse the return of any item for any reason without explanation. Any item returned that does not meet these qualifications will be forfeit as a loss at the expense of the purchaser of the items. As stated in paragraph 5.(a.) the customer is therefore strongly recommended to save all shipped items, boxes, equipment, manuals, plastic bags, etc., for at least 14 days to make sure the shipped items work properly and are fully functional before disposing of any shipping materials.

8. Intellectual Property
(a.) The trademarks and logos of Stage Outlet are the sole property of their respective owners and are owned by, licensed to, or, where required, used with permission by Stage Outlet and may not be manipulated, reproduced or copied in any way without the express and written permission of their trademark owner.

(b.) Any ideas, information, suggestions, comments or materials sent to Stage Outlet will be deemed non-confidential. By submitting such information, Any person or organization grants Stage Outlet an unrestricted and irrevocable license to display, distribute, use, modify, reproduce and/or transmit such ideas, information, suggestions, comments or materials for any purpose whatsoever. Stage Outlet will not use such information in conjunction or connection with any such ideas, information, suggestions, comments or materials without permission from the person or organization that submitted said information unless Stage Outlet is required by law to do so.

9. Limitation of Liability
(a.) STAGE OUTLET, ITS SUPPLIERS, OFFICERS, AND DIRECTORS SHALL UNDER NO CIRCUMSTANCES BE HELD LIABLE FOR ANY DAMAGES WHATSOEVER, INCLUDING  WITHOUT LIMITATION THOSE RESULTING FROM LOST PROFITS, LOST DATA, BUSINESS INTERRUPTION, LOSS OF MONEY, LOSS OF GOODWILL OR REPUTATION, OR ANY INCIDENTAL, SPECIAL, DIRECT, INDIRECT OR CONSEQUENTIAL DAMAGES, ARISING OUT OF THE USE OR INABILITY TO USE THE WEBSITE OR ANY WEBSITES LINKED TO OR FROM THIS WEBSITE. THIS FURTHER INCLUDES, BUT IS NOT LIMITED TO, DAMAGES THAT MAY RESULT FROM ANY OMISSIONS, MISTAKES, DELETION OF FILES OR EMAILS, INTERRUPTIONS, DEFECTS, ERRORS, VIRUSES, DELAYS IN OPERATION OR TRANSMISSION, OR ANY FAILURE OF PERFORMANCE, WHETHER OR NOT RESULTING FROM ACTS OF GOD, COMMUNICATIONS FAILURE, THEFT, DESTRUCTION OR UNAUTHORIZED ACCESS TO RECORDS, PROGRAMS OR SERVICES. THE FOREGOING LIMITATION OF LIABILITY SHALL APPLY, WHETHER SAID LIABILITY IS BASED ON WARRANTY, CONTRACT, NEGLIGENCE, TORT OR ANY OTHER LEGAL THEORY, EVEN IF AN AUTHORIZED REPRESENTATIVE OF STAGE OUTLET HAS BEEN ADVISED OF OR SHOULD HAVE KNOWLEDGE OF THE POSSIBILITY OF SUCH DAMAGES. THIS PARAGRAPH SHALL APPLY TO ALL CONTACT, MERCHANDISE AND SERVICES AVAILABLE THROUGH STAGE OUTLET.

(b.) BECAUSE SOME STATES DO NOT ALLOW FOR THE EXCLUSION OR LIMITATION OF LIABILITY FOR CONSEQUENTIAL OR INCIDENTAL DAMAGES, IN SUCH STATES LIABILITY IS LIMITED TO THE FULLEST EXTENT PERMITTED BY LAW.

(c.) If a dispute arises between User and Stage Outlet, User agrees to first seek a resolution by using the Contact Us help page. Stage Outlet will consider reasonable requests to resolve the dispute. If any person or organization is dissatisfied with Stage Outlet or any content on the Stage Outlet Website or does not agree to be bound by this Agreement, the sole and exclusive remedy is to discontinue using Stage Outlet Website.

(d.) Any person or organization using or purchasing from Stage Outlet will indemnify and hold Stage Outlet (and its officers, directors, agents, subsidiaries, joint ventures and employees) harmless from any claim or demand, including reasonable attorneys' fees, made by any third party due to or arising out of a breach of this Agreement, or violation of any law or the rights of a third party. 

(e.) Stage Outlet is not responsible for the actions or inactions of any person or organization using the Stage Outlet Website for any purpose at any time.  This includes, but is not limited to any user-generated posts, comments, emails or any site linked to or from Stage Outlet. Links to third-party websites, are posted as a convenience to Stage Outlet customers. Stage Outlet does not endorse or make any representations about third-party websites. Links to other websites are in no way an implication or sponsorship, endorsement, approval or responsibility for content. No rights to use or copy the information on this Website or linked third-party sites are implied or granted. User assumes all risk associated with using third-party websites.

(f.) Stage Outlet does not warrant the accuracy or completeness of the information provided on the Site. Stage Outlet does not guarantee that prices, item descriptions/specifications are correct, accurate or complete. Stage Outlet strives to be as accurate as possible with all information on its Website. Any and all errors discovered are fixed in a timely manner. Stage Outlet reserves the right to refuse or cancel orders if items are misruled due to incorrect information from suppliers, technical errors, photographic or typographical errors.

(g.) In cases where Stage Outlet does not transfer legal ownership of items from the seller to the buyer, nothing in this agreement shall modify the governing provisions of O.C.G.A. § 11-2-401(2), under which legal ownership of an item is transferred upon physical delivery of the item to the buyer by the seller. Unless the buyer and the seller agree otherwise, the buyer will become the item's lawful owner upon physical receipt of the item from the seller, in accordance with O.C.G.A. § 11-2-401(2).

(h.) Regardless of the previous paragraphs, if Stage Outlet is found to be liable, Stage Outlet’ liability to User or to any third party is limited to the greater of (a) the total fees User paid to us in the 12 months prior to the action giving rise to the liability, and (b) $100.

10. Applicable Law-Resale or Export
(a.) By the act of purchasing merchandise from Stage Outlet you agree to comply with all applicable laws and regulations of the various states and of the United States. You agree and represent that you are buying for your own personal use only, and not for resale or export.

11. Governing Law
(a.) This Agreement shall be governed by and interpreted in accordance with the laws of the State of Georgia and shall be deemed to have been entered into in Fulton County, Georgia. The parties hereto expressly agree that any claims or disputes arising out of or in connection with this Agreement or the parties’ relationship, that can not be otherwise resolved, shall be brought in the Superior Court of Fulton County, Georgia, which shall be the exclusive forum for the resolution of such claims or disputes, and the parties agree to that venues jurisdiction over them in such Court shall be proper, and waive any objection to any venues that otherwise would be available to them.

(b.) Except as explicitly stated otherwise, legal notices shall be served as to Stage Outlet at its registered agent or, as to the User at the email address User most recently provided to Stage Outlet. Legal notice shall be deemed given 24 hours after email is sent, unless the sending party is notified that the email address is invalid. Alternatively, Stage Outlet may give User legal notice by mail to the address provided during the registration process. In such case, notice shall be deemed given three days after the date of mailing. For all other notices, notice may be sent by facsimile, electronic mail, or U.S. mail as indicated on the Contact Us page of the Website.

12. Entire Agreement
(a.) This Agreement sets forth the entire understanding and agreement between Stage Outlet and its customers with respect to the subject matter hereof and supersedes any prior statements or representations. Stage Outlet and its customers may enter additional agreements particular to each sale. The following Sections survive any termination of this Agreement: Limitation of Liability and Intellectual Property. Stage Outlet may amend this Agreement at any time by posting the amended terms on this Website. Except as stated elsewhere, all amended terms shall automatically be effective immediately after they are posted. Other than as specifically provided in any separate formal purchase agreement between a customer and Stage Outlet, these terms and conditions apply to all online purchases from the website at www.stageoutlet.com. Any attempt to alter, supplement, or amend this document or to enter an order for products, which is subject to additional or altered terms and conditions, will be null and void, unless otherwise agreed to in a writing and signed by both the customer and Stage Outlet.
 
13. Severability
(a.) Each section and subsection of this Agreement constitutes a separate and distinct understanding, covenant and provision hereof. In the event that any provision of this Agreement shall finally be determined to be unlawful, such provision shall be deemed to be severed from this Agreement, but every other provision of this Agreement shall remain in full force and effect.
